4. INVESTMENT INTENT

Buyer is acquiring the Property for investment purposes only and not for personal occupancy.

5. ASSIGNMENT

Buyer may assign, convey, or otherwise transfer its interest in this Agreement without further consent of Seller.

Any assignee shall assume all rights and obligations of Buyer.

6. DISCLOSURE OF INTEREST

Seller acknowledges that Buyer may:

  • Market its contractual interest in this Agreement

  • Transfer its position prior to closing

  • Realize a financial benefit from such transfer

Buyer’s rights under this Agreement constitute a contractual interest which may be transferred.

7. NO AGENCY RELATIONSHIP

Buyer is acting solely as a principal purchaser.

Nothing in this Agreement shall be construed as creating any agency, brokerage, or fiduciary relationship between the parties.

8. LICENSE DISCLOSURE

Buyer discloses that an owner, member, or affiliate of Buyer may hold an active real estate license in the State of Ohio and is acting in this transaction strictly as a principal.

9. CONDITION OF PROPERTY

Property is being sold AS-IS, WHERE-IS, with all faults.

Seller makes no representations or warranties except as expressly stated in this Agreement.

10. ACCESS & COOPERATION

Seller agrees to provide reasonable access to the Property for:

  • inspections

  • contractors

  • prospective purchasers or partners

related to Buyer’s contractual interest.

11. DEFAULT

If either party defaults, the non-defaulting party may pursue any remedies available under Ohio law.

12. ENTIRE AGREEMENT

This Agreement contains the entire understanding between the parties and supersedes all prior negotiations or agreements.
